Agreement
These Terms of Service ('Terms') are a contract between you and Disrupt Dev LLC d/b/a Gate Booker ('Gate Booker', 'we', 'us', or 'our').
These Terms govern access to gatebooker.com, related apps, APIs, and SMS or email messages we send in connection with the service (together, the "Service"). By creating an account, accepting an organization invite, booking a dock slot, or otherwise using the Service, you agree to these Terms and to our Privacy Policy at /policies/privacy. If you use Gate Booker on behalf of a company or venue, you represent that you have authority to bind that organization.
The Service
Gate Booker helps coordinators define staging zones and arrival capacity, share dispatch booking links, confirm vendor slots, deliver transactional SMS (when configured and consented), and verify gate check-ins. Features available to you depend on your plan, organization settings, and whether optional integrations (for example SMS delivery) are enabled.
We may change, suspend, or discontinue parts of the Service with reasonable notice when practical. Beta or labeled preview features are provided as-is and may change or end without notice.
Accounts and organizations
- Keep login credentials confidential and notify us promptly of unauthorized access.
- Organization admins are responsible for inviting users, configuring zones and capacity, and how dispatch links are shared with vendors.
- You must provide accurate contact information for account and operational notices.
- You are responsible for activity under your account and under dispatch links your organization publishes.
Vendor and driver use
Vendors and drivers may book slots and manage arrivals through public booking or manage links without creating a full coordinator account. By submitting a booking you agree that the information you provide (including mobile number and, if offered, license plate) is accurate, and that you will follow site safety and access rules set by the venue or coordinator.
SMS and other communications
Transactional SMS about bookings and gate passes is sent only after express web consent as described in /policies/opt-in. Consent is optional for booking. You may stop SMS anytime as described in /policies/opt-out. After you opt out, replying START alone does not restore messaging — you must re-consent on a Gate Booker web form. Message and data rates may apply. We may also send service emails related to your account or bookings.
Text messaging originator opt-in data and consent will not be shared with any third parties/affiliates.
Acceptable use
You may not, and may not allow others to:
- Use the Service for unlawful purposes, including unauthorized commercial texting or spam.
- Forge consent, scrape manage tokens or booking links, or attempt to access another organization’s data.
- Interfere with Service integrity, capacity controls, or security (including rate-limit evasion and credential stuffing).
- Upload malware, reverse engineer non-public interfaces except where prohibited by law, or resell the Service without our written consent.
- Misrepresent your identity, company, vehicle, or arrival status at a gate.
Customer content and data
You retain rights to content and data you submit ("Customer Data"). You grant Gate Booker a limited license to host, process, transmit, and display Customer Data solely to operate and improve the Service, provide support, and meet legal obligations. Our handling of personal information is described in /policies/privacy.
Fees and trials
Paid plans are billed according to the pricing and checkout terms presented at purchase (including any hosted payment checkout). Unless stated otherwise, fees are non-refundable except where required by law. Trials convert to paid plans under the terms shown when you start the trial. You are responsible for applicable taxes.
Intellectual property
Gate Booker and its licensors own the Service software, branding, documentation, and related IP. These Terms do not transfer ownership. Feedback you provide may be used to improve the Service without obligation to you.
Third-party services
The Service relies on subprocessors such as hosting, authentication, payments, SMS, email, maps, analytics, and error monitoring. Their outages or policy changes may affect availability. Your use of third-party login or payment flows is also subject to those providers’ terms.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, that SMS will always deliver, or that gate verification will prevent all unauthorized access. Venue safety, union rules, and on-site decisions remain the responsibility of the organization and site personnel.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GATEBOOKER AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD (OR USD $100 IF YOU HAVE NOT PAID US). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.
Indemnity
You will defend and indemnify Gate Booker against claims arising from your Customer Data, your misuse of the Service, your violation of these Terms or law, or disputes between your organization and its vendors, drivers, or site personnel — except to the extent caused by our willful misconduct.
Suspension and termination
We may suspend or terminate access for non-payment, security risk, or material breach. You may stop using the Service at any time. Provisions that by nature should survive (including IP, disclaimers, liability limits, and indemnity) survive termination.
Governing law
These Terms are governed by the laws of the State of California, excluding conflict-of-law rules, unless a mandatory consumer protection law in your place of residence requires otherwise. Courts in San Francisco County, California, will have exclusive jurisdiction for disputes that are not subject to a mandatory alternative venue — subject to counsel review before production reliance.
Changes
We may update these Terms by posting a revised version at /policies/terms with an updated effective date. Continued use after the effective date constitutes acceptance, except where applicable law requires additional notice or consent for material changes.
